1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you" or "your") and DrawingData, Inc. ("DrawingData", "we", "us", or "our"). By accessing or using our website, applications, APIs, or other services (collectively, the "Services"), you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Services.
2. Services Description
DrawingData develops, licenses, and operates a broad range of software products and services. The Services may include, without limitation, web and mobile applications (iOS and Android), desktop clients, hosted platforms, APIs, SDKs, integrations, developer tools, and features that use machine learning or AI. Mobile apps distributed through third‑party app stores may be subject to the app store provider’s terms and policies in addition to these Terms. We may regularly update, enhance, or change the Services and may add or remove functionalities at our discretion.
2.1 Mobile Apps and Platform Rules
Our mobile apps may be distributed via third‑party app stores (e.g., Apple App Store, Google Play). You agree to comply with any additional terms required by those platforms. In-app purchases and subscription billing may be handled through the platform provider and are subject to their terms and refund policies. The app may request device permissions (camera, storage, microphone, etc.) to enable features; you should review and consent to these permissions in your device settings.
3. Eligibility and Accounts
To use the Services you must be at least the age required in your jurisdiction to form a binding contract and have the legal capacity to enter into these Terms. You are responsible for creating and maintaining the security of your account credentials, and for all activities that occur under your account. You must provide accurate and complete information when creating an account and keep that information up to date.
4. User Content and Uploads
The Services may allow you to upload, submit, or otherwise make available content, files, data, text, images, audio, video, and other materials (collectively, "User Content"). You retain ownership of User Content you submit. By submitting User Content, you grant DrawingData a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, process, modify, and display the User Content solely as necessary to provide, maintain, and improve the Services (including training internal models), and to comply with legal obligations.
You represent and warrant that you have all rights, licenses, and permissions necessary to provide the User Content and to grant the rights described above, and that your User Content does not violate any third-party rights or applicable laws.
5. AI, Machine Learning, and Model Usage
Some features of the Services may involve AI, machine learning models, or automated decision-making. These features may generate outputs derived from or based on your input and/or aggregated data. Such outputs are provided for informational purposes and should not be relied upon as the sole basis for critical decisions.
We may use aggregated, anonymized User Content to improve our Services and models. If you upload data that you do not want used for model improvement, please review the product settings or contact our support team. We will comply with applicable laws and our Privacy Policy regarding the use of personal data.
6. Privacy and Data Security
Our collection and use of personal data is described in our Privacy Policy. We implement commercially reasonable administrative, technical, and physical measures designed to protect User Content. However, no method of transmission or storage is completely secure. You are responsible for protecting any credentials, secrets, or private keys associated with your account.
7. Acceptable Use Policy
You agree not to upload or transmit User Content that:
- Violates any law, regulation, or third-party rights;
- Contains illegal, harmful, abusive, defamatory, obscene, or pornographic material;
- Infringes intellectual property or proprietary rights;
- Contains malware, viruses, or other harmful code;
- Attempts to reverse engineer, exploit, or otherwise interfere with the Services.
We reserve the right to remove or disable User Content that violates this policy or these Terms, and to suspend or terminate accounts that engage in prohibited conduct.
8. Intellectual Property
All rights, title, and interest in and to the Services, including software, features, designs, user interfaces, and underlying infrastructure, are and will remain our exclusive property or the property of our licensors. You do not acquire any ownership rights by using the Services.
To the extent that DrawingData provides any customer-specific improvements, configurations, or derivative works based on your User Content, the ownership of those improvements will be governed by a separate written agreement or, absent such agreement, by applicable law.
9. Fees and Payment
Access to certain features of the Services may require payment of fees. Fees, billing cycles, and payment terms are described in your order, subscription plan, or on our website. All fees are non-refundable unless otherwise specified. We reserve the right to change fees with advance notice as required by law or your agreement.
10. Termination
Either party may terminate or suspend access to the Services at any time for any reason with or without notice. Upon termination, your right to access the Services will cease. We may retain or delete User Content in accordance with our data retention practices and Privacy Policy.
11. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, DrawingData disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will DrawingData, our affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to these Terms or your use of the Services, even if advised of the possibility of such damages. Our aggregate liability for all claims arising from or relating to these Terms or your use of the Services will not exceed the fees you have paid to DrawingData in the 12 months preceding the claim, or one hundred dollars (US $100), whichever is greater.
13. Indemnification
You agree to indemnify and hold DrawingData and its affiliates, officers, agents, and employees harmless from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your User Content, or your violation of applicable law.
14. Modifications to the Services
We may modify, suspend, or discontinue provision of the Services (or any portion thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
15. Export Controls
The Services may be subject to export control and economic sanctions laws. You agree not to use or access the Services in violation of such laws and to comply with applicable export control laws and regulations.
16. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or relating to them will be governed by the laws of the state in which DrawingData is incorporated, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved in the state or federal courts located in that jurisdiction, and you consent to the exclusive jurisdiction and venue of those courts.
17. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will provide notice as required by law, such as via email or prominent notice on the Services. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

19. Miscellaneous
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and DrawingData regarding the subject matter and supersede any prior agreements.
